Wholesale Terms & Conditions
Everything you need to know before ordering with Elm Woods Farm.
Wholesale Account Requirements
Wholesale pricing is available only to verified businesses and qualified wholesale buyers.
- Registered business entity
- Resale certificate or sales tax exemption certificate, if applicable
- State-issued business license, if applicable
- Completed wholesale application or account registration
- Minimum monthly order volume of $10,000 to maintain wholesale eligibility
Wholesale accounts are reviewed periodically and may be restricted, suspended, or reverted from wholesale pricing if account requirements, compliance documentation, or minimum purchasing requirements are not maintained.
Account Onboarding & Tax Documentation
After placing an initial wholesale order, an Elm Woods Farm account manager may contact the customer to assist with onboarding, account verification, and operational support.
Resellers seeking sales tax exemption status must provide a valid resale certificate or sales tax exemption certificate prior to order processing where applicable. Accounts without valid exemption documentation may be subject to sales tax collection in accordance with applicable state tax laws and Elm Woods Farm’s tax compliance policies.

Minimum Orders & Processing
- Wholesale minimums apply
- Qualified wholesale accounts must maintain a minimum monthly purchase volume of $10,000
- Orders process after approval, verification, and payment confirmation where applicable
- Pricing and availability are subject to market conditions and may change without notice
- Inventory is not guaranteed until an order is accepted and payment requirements are satisfied
Order Acceptance & Cancellations
Elm Woods Farm reserves the right to cancel, limit, or refuse any order at its discretion, including but not limited to orders involving compliance concerns, payment irregularities, inventory limitations, restricted jurisdictions, or suspected fraudulent activity.
Product Variance & Batch Differences
Product images, specifications, and Certificates of Analysis displayed on our website reflect the actual products and production batches currently being sold. COAs are updated as new production batches are received and processed.
Customers acknowledge that natural variance may occur between batches, including but not limited to cannabinoid percentages, terpene profiles, coloration, aroma, moisture content, density, trim, and overall appearance.
By placing an order, the customer acknowledges and accepts reasonable batch-to-batch variation inherent to agricultural and hemp-derived products.
Payment Terms
Available to approved accounts.
Subject to approval and successful deposit.
Accepted for eligible wholesale orders.
Payment Compliance: Wire transfer and eCheck/ACH privileges may be suspended or permanently removed from an account if wire payments are not received within 48 hours of order placement, eCheck/ACH transactions fail, reverse, or are returned unpaid, or repeated payment delays or payment irregularities occur.
Elm Woods Farm reserves the right to modify available payment methods for any account at its sole discretion.

Fast Fulfillment
Risk of Loss: Risk of loss and title transfer to the purchaser upon transfer of goods to the shipping carrier.
Carrier Issues: Elm Woods Farm is not responsible for carrier delays, lost shipments, theft, weather interruptions, or delivery issues occurring after carrier acceptance.
Inspection Requirement: Customers must inspect shipments immediately upon delivery and report any damage, shortages, or fulfillment discrepancies within three (3) business days.
Compliance & Legal
Federal Law: Products are intended to comply with applicable federal hemp requirements, including the 2018 Farm Bill, and contain less than 0.3% Δ9-THC where required by law.
State Compliance: Customers are solely responsible for ensuring compliance with all local, state, and federal laws applicable to the purchase, possession, distribution, marketing, and resale of products purchased from Elm Woods Farm.
Restricted Jurisdictions: Elm Woods Farm reserves the right to refuse or cancel orders to jurisdictions where products may be restricted or prohibited.
COAs: Certificates of Analysis are available for applicable products and are updated as new batches are received.
Age Restrictions: Products may not be sold to minors or where prohibited by law.
Marketing Claims: Products sold by Elm Woods Farm are not intended to diagnose, treat, cure, or prevent any disease. Customers are responsible for ensuring all downstream marketing, labeling, advertising, and resale activities remain compliant with applicable laws and regulations.
Resale Responsibility: Customers assume full responsibility for their own resale practices, customer communications, product claims, tax obligations, and regulatory compliance.
Returns & Claims
All wholesale orders are final.
Claims must be submitted within 3 business days.
Approved claims may receive credit or replacement.
Due to the nature of bulk and wholesale volume fulfillment, Elm Woods Farm does not accept returns or exchanges on wholesale orders unless approved in writing.
Claims involving damage, shortages, or fulfillment discrepancies must include supporting documentation, including clear photos of the shipment, packaging, labels, and affected products where applicable.
Fraud, Chargebacks & Account Termination
Elm Woods Farm reserves the right to suspend, restrict, or terminate wholesale accounts for suspected fraud, excessive chargebacks, payment disputes, abuse of policies, compliance concerns, inactivity, failure to maintain minimum order volume, or violations of these Terms & Conditions.
Customers agree that fraudulent payment disputes or chargebacks may result in collections activity, legal action, recovery costs, and permanent account restriction.
